Following Firms Will Have First Crack at Newest iPhone, Droid

Sullivan & Cromwell and Wachtell, Lipton, Rosen & Katz are serving as lead corporate counsel on AT&T’s surprise $39 billion bid for T-Mobile USA, while five more Am Law 200 firms are handling the antitrust and regulatory aspects of a deal that figures to receive close scrutiny from U.S. regulators.

Cleary Gottlieb Steen & Hamilton is acting as antitrust counsel to Deutsche Telekom on the proposed sale of its Bellevue, Wash.-based T-Mobile USA unit, the nation’s fourth-largest wireless carrier.

Arnold & Porter and Crowell & Moring are also advising AT&T as well.

Breaking: From the Washington Post:

AT&T Inc. says it will buy T-Mobile USA from Deutsche Telekom in a cash-and-stock deal valued at $39 billion. T-Mobile is the fourth-largest wireless carrier in the United States.

I mentioned earlier that Google was trying to purchase Groupon for roughly 5 to 6 billion. Well it turns out the Groupon has rejected the offer and wants to remain independent.

From Chicago Breaking Business:

The deal didn’t tip after all.

Chicago-based Groupon Inc. has turned down an acquisition offer from Google Inc. and is staying independent, two sources with direct knowledge of the situation said Friday.

The two companies had been engaged in talks, with speculation about the marriage reaching a fever pitch over the last week. Mountain View, Calif.-based Google reportedly had offered between $5 billion and $6 billion for the daily deal start-up…

Thomson Reuters, Owners of West, Heads East

This is interesting. From Edward Adams of the ABA Journal:

Legal information giant Thomson Reuters – owner of the storied brand West Publishing – is about to get into the business of providing legal services, according to the company.

Thomson announced Thursday evening that it is acquiring Indian legal process outsourcing company Pangea3 in a deal the Business Standard of India valued at between $35 million and $40 million.

Pangea3 is one of the largest legal outsourcing firms in India, with more than 650 employees and annual revenue in excess of $25 million, according to the Business Standard. A number of venture capitalists have invested in the company, including Silicon Valley’s Sequoia Capital which invested $7 million in 2007…

From the AP:

Southwest Airlines will buy AirTran for about $1.4 billion, the company said Monday, allowing it to expand in some key smaller U.S. markets it doesn’t already serve.

The announcement comes as Continental Airlines and United Airlines parent UAL Corp. form a single company, a deal expected to be completed this week.

Southwest and AirTran said the new airline will operate from more than 100 different airports and serve more than 100 million customers…
